Well, you may be using the term "business partnership" in a general sense...so, I would need to know if you are referring to a general partnership, a limited partnership, a corporation, a Limited Liability Company or simply a joint venture. If the "legal entity" is definitive, it has its own attorney. So, when I set up a corporation, I actually represent the corporation and not any of the shareholders. Now, that could present a problem since the corporation does not have "one voice" and I need to communicate with all shareholders at the same time so that "notice" is complete as to any pending action. If any of the proposed corporate actions could adversely affect any of the individual shareholders (or partners) I recomend seperate counsel to make sure that everyone's interest in taken into consideration.
