How to Write a Consulting Contract

Learning to write a consulting contract is an important part of being an independent contractor. A thorough consulting contract will outline the responsibilities of the consultant and the client in a clear and detailed way, leaving no room for misunderstandings.

1. Meet with the client to discuss the project's requirements. Take notes about all of the services that you will be expected to deliver. This may include attending company meetings, interviewing consumers, traveling and more.

2. Discuss compensation with the client. Your compensation may be a flat fee for all services rendered, or charge by the hour.

3. Clarify who will pay for work-related expenses. For example, if traveling for an assignment, find out if the airfare, hotel accommodations and meals will be covered by the client.

4. Establish the terminology for the contract. The consultant can be described as a "Contractor" and the business can be referred to as "Client." This is so that you do not have to repeatedly indicate the names of the entities.

5. Decide on the contract format. If you will perform a large number of services, you might use a numbered list format. This will make it easier to discuss the contract items in the future.

6. Write out the responsibilities of the consultant and client. For example: "the contractor will attend meetings, interview all employees and write a comprehensive report due within 10 days of the start date. The client will accommodate the consultant's schedule, pay for travel expenses and pay the consultant within 10 days of project completion."

7. Obtain the client's signature before beginning the work. Make sure the client does not object to any aspects before proceeding.
